These Terms of Service (“Terms”) govern your use of Wello Payment, including all related software, POS systems, check-in tools, messaging services, and payment processing features (collectively, the “Service”).

By using the Service, you agree to these Terms and our Privacy Policy.


1. Eligibility & Business Use

The Service is intended for business use.

By using Wello Payment, you confirm:

  • You are at least 18 years old

  • You have authority to act on behalf of your business

  • Your business complies with all applicable laws


2. Description of Services

Wello Payment provides:

  • Point-of-sale (POS) software

  • Customer check-in tools

  • Messaging (SMS) features

  • Payment processing integrations

  • Reporting and business tools

We are not a bank and do not hold funds.


3. Payment Processing

Payments may be processed through third-party providers.

You agree:

  • You are subject to third-party processor terms

  • You are responsible for all transactions

  • We are not liable for processor actions (holds, delays, termination)


4. Merchant Responsibilities

You agree to:

  • Provide accurate information

  • Comply with card network rules

  • Honor refunds and disputes

  • Maintain proper licenses

You are responsible for:

  • Your employees

  • Your customers

  • All transactions


5. Chargebacks & Disputes

You are solely responsible for:

  • Chargebacks

  • Refunds

  • Fraud

We may suspend accounts with excessive disputes.


6. Fees & Billing

You agree to pay all applicable fees.

Failure to pay may result in:

  • Suspension

  • Termination

  • Collections


7. Acceptable Use

You may not:

  • Use the Service for illegal activity

  • Send spam or unsolicited messages

  • Use automation or scraping tools

  • Misrepresent identity


8. Data & Customer Information

You retain ownership of your customer data.

You grant us the right to:

  • Process and store data

  • Share data with service providers

You are responsible for:

  • Obtaining customer consent

  • Compliance with privacy laws


9. SMS & Messaging Terms

By providing a phone number and opting in, users consent to receive SMS messages from Wello Payment or merchants using the platform.

Messages may include:

  • Appointment reminders

  • Check-in notifications

  • Transaction confirmations

  • Customer support messages

  • Promotional messages (if opted in)

Message Terms

  • Message frequency may vary (up to 4 messages per week)

  • Message and data rates may apply

  • Messages are sent by Wello Payment or associated merchants

Opt-Out Instructions

Users may opt out at any time by replying:

STOP, END, CANCEL, UNSUBSCRIBE, or QUIT

10. Consent Requirements (IMPORTANT)

Merchants using the platform must:

  • Obtain explicit customer consent before sending SMS

  • Clearly disclose messaging terms at the point of opt-in

  • Maintain records of consent

Wello Payment is not responsible for misuse of messaging by merchants.


11. Service Availability

We do not guarantee uninterrupted service.

We are not liable for:

  • Downtime

  • Data loss

  • Delays


12. Intellectual Property

All software and branding belong to Wello Payment.

You may not:

  • Copy or resell the system

  • Reverse engineer software


13. Disclaimer of Warranties

The Service is provided:

"AS IS" and "AS AVAILABLE"

14. Limitation of Liability

We are not liable for:

  • Lost profits

  • Chargebacks

  • Data loss

Our liability is limited to the amount paid in the last 3 months.


15. Indemnification

You agree to defend and hold us harmless from:

  • Legal claims

  • Customer disputes

  • Violations of law


16. Governing Law

These Terms are governed by the laws of the State of Georgia, USA.


17. Arbitration

All disputes will be resolved through binding arbitration.

No class actions allowed.


18. Third-Party Services

We are not responsible for:

  • Payment processors

  • SMS providers

  • Integrations


19. Rewards Disclaimer

Rewards are provided by merchants.

We are not responsible for:

  • Redemption

  • Availability
